Audit Committee and Renumeration Committee
Audit Committee
The PfS Audit Committee is comprised of four non-executive directors who meet at least three times a year. The Committee reviews the Company's financial statements before submission to the board, these include:
- the actions of management;
- internal controls and risk management;
- corporate governance;
- compliance;
- internal and external audit; and
- any other issues concerning regularity and propriety.
The Audit Committee is chaired by Stella Earnshaw and the members are Brian Rigby, Christine Davies and Richard Baldwin.
Remuneration Committee
On behalf of the Board, the Committee considers the broad policy for executive remuneration, this includes:
- reviewing individual remuneration packages for the CEO and senior team;
- reviewing the terms and conditions of PfS's staff;
- determining how the Company's bonus scheme operates and the criteria to be applied; and
- reviewing the recommendations by the CEO for annual reviews of salary and performance.
The Remuneration Committee is chaired by Michael Grabiner and the members are Brian Rigby, Christine Davies, James Stewart and Richard Baldwin.
